Terms of Service
These Terms of Service (“Terms”) govern your use of the Vibes Lifestyle health and fitness facility located in Texas, the Vibes Lifestyle mobile application (the “App”), and the website at vibesls.com (collectively, the “Services”), operated by Vibes Lifestyle (“Vibes,” “we,” “us,” or “our”).
By accessing or using our Services — including visiting our facility, booking a session, creating an App account, or submitting a consult request — you agree to be bound by these Terms. If you do not agree, do not use our Services.
These Terms constitute a legally binding agreement. Please read them carefully.
Eligibility
You must be at least 18 years old to use our Services independently. Individuals between the ages of 13 and 17 may participate only with written consent from a parent or legal guardian, who assumes full responsibility for the minor’s participation and agrees to these Terms on their behalf.
Children under 13 are not permitted to use our Services or create an App account.
By using our Services, you represent that you meet the applicable age requirements and have the legal capacity to enter into a binding agreement.
Membership and Accounts
Account Creation
To access member features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at management@vibesls.com if you suspect unauthorized access to your account.
Membership Tiers
Vibes Lifestyle offers multiple membership tiers, each with different levels of access and coaching services. Your membership tier, pricing, and included services will be confirmed at the time of enrollment. We reserve the right to modify membership offerings with reasonable notice to existing members.
Guest Pass
The Guest Pass (one complimentary coached session) is available to first-time visitors only. It is non-transferable, has no cash value, and may not be combined with any other offer. Attempting to redeem a Guest Pass more than once — whether under the same or different contact information — constitutes a violation of these Terms and may result in being charged the applicable drop-in rate.
Ascension Tier
Ascension membership is by coach invitation only. Invitation does not guarantee continued Ascension access — Vibes reserves the right to modify eligibility criteria or session availability at any time. Ascension members are bound by these Terms in addition to any separate Ascension membership agreement.
Payments, Billing, and Cancellation
Fees and Billing
Membership fees are billed on a recurring basis as agreed at enrollment. All fees are in U.S. dollars. By providing a payment method, you authorize us to charge the applicable fees on the agreed billing cycle.
Failure to pay may result in suspension or termination of your membership and App access. You are responsible for any costs associated with collecting overdue amounts, including reasonable collection fees.
Price Changes
We reserve the right to change membership pricing. We will provide at least 30 days’ written notice (via email or in-App notification) before any price increase takes effect for existing members.
Cancellation
You may cancel your membership at any time by contacting us at management@vibesls.com or in person at the facility. Cancellations take effect at the end of your current billing period unless otherwise agreed. No partial-period refunds are issued unless required by applicable law.
Refunds
All membership fees are generally non-refundable except where required by applicable Texas law. If you believe you have been charged in error, contact us within 30 days of the charge at management@vibesls.com and we will review the matter promptly.
Facility Rules and Code of Conduct
By visiting our facility, you agree to abide by the following rules. Violations may result in suspension or permanent termination of your membership without refund.
General Conduct
- Treat all coaches, staff, and fellow members with respect. Harassment, intimidation, threatening behavior, or discrimination of any kind will not be tolerated.
- Follow all instructions from coaches and staff at all times.
- Do not use the facility or its equipment while under the influence of alcohol or any impairing substance.
- Maintain personal hygiene. Appropriate athletic clothing and clean athletic footwear are required in all training areas.
- No outside food or beverages are permitted in training areas without prior approval.
Equipment and Facility
- Use equipment only for its intended purpose and return it to its proper place after use.
- Report any damaged or malfunctioning equipment to staff immediately. Do not use damaged equipment.
- You are liable for damage to facility property caused by your negligence or intentional misconduct.
- Photography and video recording in the facility are permitted for personal use only. Recording other members without their consent is strictly prohibited.
Sessions and Booking
- Book sessions in advance through the App. Showing up without a booking is subject to space availability.
- Cancellations made less than 2 hours before a session start time may be subject to a late-cancel policy at our discretion.
- Repeated no-shows without notice may result in booking restrictions.
Health, Safety, and Assumption of Risk
Health Representation
By participating in any session or fitness program at Vibes Lifestyle, you represent that you are in adequate physical condition to engage in exercise and fitness activities. You acknowledge that exercise involves inherent risks, including but not limited to muscle soreness, injury, and in rare cases, serious physical harm.
If you have any known medical conditions, physical limitations, or recent injuries, you are strongly encouraged to consult a licensed physician before beginning any fitness program. It is your responsibility to inform your coach of any conditions that may affect your ability to exercise safely.
Assumption of Risk
You voluntarily assume all risks associated with participation in coached sessions, group classes, strength training, kickboxing, conditioning activities, and any other fitness programming offered by Vibes Lifestyle, whether on or off the premises.
InBody Scans and Body Composition Data
InBody 770 scans are provided as a coaching tool to track body composition trends over time. Scan results do not constitute medical advice and should not be used to diagnose, treat, or manage any medical condition. Consult a licensed healthcare provider for any medical concerns.
Nutrition Guidance
Nutrition goals set by your coach are general wellness guidance and do not constitute medical or dietetic advice. Vibes Lifestyle coaches are not licensed dietitians or physicians. If you have a medical condition that affects your dietary needs, consult a qualified healthcare professional.
The Vibes Lifestyle App
License to Use
Subject to these Terms and your active membership, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Vibes Lifestyle App for your personal, non-commercial use.
App Features and Availability
The App includes features such as class booking, XP and leveling, skill tree progression, habit tracking, coach messaging, and InBody scan history. We reserve the right to modify, suspend, or discontinue any App feature at any time with or without notice. We are not liable to you or any third party for any modification or discontinuation of App features.
Gamification and Virtual Items
XP, levels, skill tree unlocks, badges, and other in-App achievements (“Virtual Items”) have no monetary value, are not transferable, and may not be exchanged for cash or any other consideration. Virtual Items are a feature of your membership license and may be reset, modified, or removed at our discretion, including upon account termination.
Account Termination and Deletion
You may delete your App account at any time through the App (Profile → Settings → Account → Delete My Account) or by emailing management@vibesls.com. See our Privacy Policy for details on what data is retained after deletion. Termination of your App account does not automatically cancel a paid membership — those must be cancelled separately.
Prohibited App Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the App.
- Use the App to transmit spam, malicious code, or harmful content.
- Attempt to gain unauthorized access to other users’ accounts or data.
- Use the App in any way that violates applicable law.
- Share your account credentials with any other person.
User Content
Our Services may allow you to submit content such as messages to your coach, community feed posts, or profile information (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant Vibes Lifestyle a non-exclusive, royalty-free, worldwide license to use, display, and store that content as necessary to operate the Services.
You agree not to submit User Content that:
- Is unlawful, defamatory, harassing, threatening, or abusive.
- Infringes any third-party intellectual property, privacy, or other rights.
- Contains spam, advertising, or solicitation not authorized by Vibes.
- Is false, misleading, or fraudulent.
We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is otherwise inappropriate.
Member Spotlights and Marketing
We may feature members in spotlights on our website, App community feed, or social media. We will always obtain your explicit consent before featuring you by name or likeness in any public-facing content. You may withdraw consent at any time by contacting management@vibesls.com, and we will remove the content as soon as reasonably practicable.
Photography and video taken at Vibes Lifestyle facility events may be used for promotional purposes. If you do not wish to be photographed or filmed at an event, please notify a staff member before the event begins.
Intellectual Property
All content, branding, trademarks, logos, software, and materials associated with Vibes Lifestyle — including the App, website, class names (IGNITE, ENDURE, ENGAGE, FOUNDATIONS, ASCENSION), the Vibes System, and all related materials — are the property of Vibes Lifestyle or its licensors and are protected by applicable intellectual property laws.
You may not copy, reproduce, distribute, modify, or create derivative works from any Vibes Lifestyle content without our prior written consent.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any specific fitness results will be achieved through use of our Services. Individual results vary.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIBES LIFESTYLE AND ITS OWNERS, EMPLOYEES, COACHES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, LOSS OF DATA, OR LOSS OF REVENUE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO VIBES LIFESTYLE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Vibes Lifestyle and its owners, employees, coaches, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any injury or damage you cause to another person or property while at the facility.
Governing Law and Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Informal Resolution
Before initiating any formal dispute, you agree to contact us at management@vibesls.com and attempt to resolve the dispute informally. We will make a good-faith effort to resolve any issue within 30 days.
Venue
If informal resolution fails, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Tarrant County, Texas. You consent to the personal jurisdiction of those courts.
Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to violation of these Terms, non-payment, or conduct that we determine to be harmful to other members or staff.
Upon termination, your license to use the App ceases immediately. Provisions of these Terms that by their nature should survive termination — including Sections 5, 9, 10, 11, 12, and 13 — will survive.
Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. For material changes, we will notify active members via the App or by email at least 14 days before the changes take effect.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and cancel your membership.
Miscellaneous
Entire Agreement
These Terms, together with our Privacy Policy and any membership agreement you signed at enrollment, constitute the entire agreement between you and Vibes Lifestyle regarding the Services and supersede all prior agreements or understandings.
Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.
